These terms govern your use of Northgild's general financial planning literacy programmes, workshops, and community resources. Please read them carefully before registering or accessing any of our services.
Definitions
The following terms carry specific meanings throughout this document:
- "Agreement"These Terms & Conditions, together with our Privacy Policy and Cookie Policy, forming the complete understanding between you and Northgild.
- "Service"Any general financial planning literacy programme, workshop, toolkit, community resource, or related educational material offered by Northgild.
- "User" / "You"Any individual who accesses, browses, registers for, or participates in any Service provided by Northgild.
- "We/Us/Our"Northgild, operating at No. 35, Jalan Abdullah Tahir, 80300 Johor Bahru, Johor, Malaysia.
- "Content"All educational materials, worksheets, frameworks, presentations, videos, written guides, and community discussions made available through a Service.
- "Programme"A structured, multi-session educational offering with defined materials, sessions, and a certificate of attendance where applicable.
Acceptance of Terms
By accessing our website, registering for a Service, making a payment, or participating in any programme or community space, you confirm that you have read, understood, and agree to be bound by this Agreement.
- You must be at least 18 years of age to register for or purchase any Service.
- If you are registering on behalf of an organisation, you represent that you have the authority to bind that organisation to this Agreement.
- If you do not agree with any part of these terms, please do not use our Services.
Service Description
Northgild offers the following general financial planning literacy services, all delivered as public education and not as regulated financial advice:
Planning Concepts Workshop — RM 500
A structured workshop introducing everyday planning concepts, including budgeting, saving, and goal-setting, presented entirely as general education with no personal advice component.
Planning Toolkit & Community — RM 1,540
Access to frameworks, worksheets, and a community space for general questions and discussion about everyday planning concepts.
Planning Literacy Programme — RM 4,300
A multi-session general-education programme connecting planning concepts, including group discussion, structured materials, and a certificate of attendance upon completion.
Services are delivered primarily in Johor Bahru, Johor, Malaysia. Availability may be subject to session capacity. We reserve the right to modify or discontinue Services with reasonable notice.
User Responsibilities
When using any Service, you agree to:
- Provide accurate and complete information at the time of registration.
- Attend sessions or access materials respectfully and for personal educational purposes only.
- Not disrupt sessions, community discussions, or the experience of other participants.
- Not reproduce, distribute, or resell any Content without our prior written consent.
- Not use any Service for any commercial purpose without an explicit written agreement.
Prohibited activities include:
- Sharing login details or access materials with third parties who have not enrolled.
- Recording sessions without express written permission from Northgild.
- Using the community space to provide financial advice, solicit business, or promote external products or services.
- Any conduct that is abusive, harassing, or disrespectful toward staff or other participants.
Enrolment & Accounts
Enrolment in any Service is confirmed upon receipt of full payment and a written confirmation from Northgild. Where online accounts or community access is provided:
- You are responsible for maintaining the confidentiality of your access credentials.
- You must notify us promptly at [email protected] if you suspect unauthorised use of your account.
- Accounts are non-transferable and may not be shared.
- We may suspend or terminate access if these terms are breached.
Payment Terms
All prices are displayed in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless stated otherwise.
- Payment methods: Accepted payment methods will be communicated at the time of enrolment.
- Full payment: Payment in full is required before access to any Service is granted unless a written instalment arrangement has been agreed.
- Cancellation by participant: Requests for cancellation received more than 7 calendar days before a session commences may be eligible for a credit toward a future intake. No cash refund is provided once a session has commenced.
- Cancellation by Northgild: If we cancel a session, participants will receive a full credit or the option of a cash refund for that session's proportionate cost.
- Rescheduling: We reserve the right to reschedule sessions with at least 5 business days' notice.
Intellectual Property
All Content made available through our Services — including frameworks, worksheets, slides, written guides, and course materials — is the intellectual property of Northgild or its licensors. All rights are reserved.
- Upon enrolment, you receive a limited, non-exclusive, non-transferable licence to access and use Content for your own personal educational purposes only.
- You may not copy, reproduce, distribute, sell, or create derivative works based on any Content without prior written consent.
- Any feedback, suggestions, or ideas you share with us may be used to improve our Services without any obligation to you.
Programme-Specific Terms
The following additional conditions apply to educational programmes and workshops:
- Attendance: Participants are expected to attend all scheduled sessions. Missed sessions may not be individually re-run; supplementary materials may be provided where practical.
- Certificate of Attendance: The Planning Literacy Programme includes a certificate of attendance. This certificate confirms participation in a general education programme and does not confer any professional qualification, licence, or credential.
- Community Space: The Planning Toolkit & Community includes access to a moderated community space. Northgild moderators may remove content or revoke access for conduct that breaches these terms.
- Academic Integrity: Participants must engage with materials honestly and not misrepresent their participation or completion to any third party.
Disclaimers
All Services are provided as general educational information only. Nothing in our programmes, workshops, toolkits, community discussions, or materials constitutes financial, investment, legal, or tax advice. Participants should consult appropriately qualified professionals for advice relating to their specific circumstances.
- Services are provided "as is" without any warranties, express or implied.
- We do not warrant that Services will be uninterrupted, error-free, or available at all times.
- We make no representations regarding outcomes from applying general educational concepts discussed in any Service.
- Third-party content, links, or references within our materials are provided for general context only and do not constitute endorsement.
Limitation of Liability
To the fullest extent permitted by Malaysian law, Northgild's total liability to you for any claim arising out of or in connection with these terms or any Service shall not exceed the amount you paid for the specific Service giving rise to the claim.
We shall not be liable for any:
- Indirect, incidental, special, or consequential loss or damage.
- Loss of data, profits, business, or opportunity.
- Losses arising from decisions made based on general educational content.
- Events beyond our reasonable control (force majeure), including natural disasters, public health emergencies, or utility failures.
Nothing in this clause limits liability that cannot be excluded under applicable law, including any rights you may have under the Consumer Protection Act 1999 (Malaysia).
Indemnification
You agree to indemnify and hold harmless Northgild, its staff, and associates from and against any claims, damages, costs, and expenses (including reasonable legal fees) arising from your breach of these terms, misuse of any Service, or any activity that violates applicable law or the rights of a third party.
Termination
- By you: You may withdraw from a Service at any time, subject to the cancellation and refund terms in Section 6.
- By us: We may terminate or suspend your access to any Service immediately, without notice, if we determine that you have materially breached these terms.
- Effects: Upon termination, your right to access Content and the community space ends. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — remain in full effect.
Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of Malaysia. The courts of Johor Bahru, Johor shall have non-exclusive jurisdiction over any dispute arising from this Agreement.
Before commencing any formal proceedings, we encourage you to contact us directly at [email protected] to seek an informal resolution. We will make reasonable efforts to address any concern within 14 business days.
If informal resolution is not possible, either party may refer the matter to mediation through the Malaysian Mediation Centre before resorting to litigation.
General Provisions
- Entire Agreement: This Agreement constitutes the entire understanding between you and Northgild in respect of the Services and supersedes all prior representations, discussions, or agreements.
- Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: A failure by either party to enforce any provision does not constitute a waiver of the right to enforce it at a later time.
- Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
- Notices: Formal notices should be sent to [email protected] or by post to our registered address.
Changes to Terms
We may update these Terms & Conditions from time to time to reflect changes in our Services, legal requirements, or operational practices. When changes are made, we will update the "Last Updated" date at the top of this page.
For material changes, we will make reasonable efforts to notify enrolled participants by email. Continued use of any Service after the effective date of changes constitutes acceptance of the updated terms.
